Terms of Service

1. Service Description
Consent Hub ("the Service") is a consent management platform operated by OBERON AI TECH S.A. ("we", "us", or "our"). The Service provides APIs, dashboards, and tools for managing end-user consent records in compliance with data protection regulations including the GDPR, PSD2, and CCPA.
By creating an account or using the Service, you ("Customer", "you") agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.
2. Account Registration
To use the Service you must create an account by providing a valid email address and, optionally, a password. You may also authenticate via magic link. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to provide accurate and complete registration information and to update it promptly if it changes. We reserve the right to suspend or terminate accounts that contain false or misleading information.
You must be at least 18 years old or the age of majority in your jurisdiction to create an account.
3. Acceptable Use
You agree to use the Service only for lawful purposes. You shall not:
- Use the Service to process personal data without a valid legal basis under applicable data protection laws.
- Attempt to gain unauthorized access to the Service, other accounts, or our infrastructure.
- Interfere with or disrupt the Service or the servers and networks connected to the Service.
- Reverse engineer, decompile, or disassemble any part of the Service, except as permitted by applicable law.
- Use the Service to store or transmit malicious code, or to conduct any form of network attack.
- Resell, sublicense, or redistribute the Service without our prior written consent.
- Use the Service in a manner that could damage, disable, or impair the Service or interfere with other users' use.
4. API Usage
The Service provides REST APIs authenticated via API keys. You are responsible for safeguarding your API keys and must not share them publicly or embed them in client-side code.
API usage is subject to rate limits as described in our documentation. Current limits are 1,000 requests per minute per API key. We reserve the right to throttle or suspend API access if usage patterns indicate abuse or threaten platform stability.
API usage is metered and counted toward your plan limits. Overage charges may apply on paid plans as described in our pricing page. On the Free plan, requests exceeding the monthly limit will be queued until the next billing cycle.
5. Intellectual Property
The Service, including all software, APIs, documentation, designs, trademarks, and content, is owned by OBERON AI TECH S.A. (CIF: A24977845) and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand features.
You retain all rights to the data you upload to the Service. By using the Service, you grant us a limited license to process your data solely for the purpose of providing the Service.
We may use aggregated, anonymized data derived from your use of the Service for analytics, benchmarking, and service improvement purposes. Such data will never identify you or your end users.
6. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall OBERON AI TECH S.A., its directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with the use of the Service.
Our total aggregate liability for all claims arising from or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) one hundred euros (EUR 100).
Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
7. Data Processing
When you use the Service to manage consent records on behalf of your end users, you act as the data controller and we act as the data processor. Our processing activities are governed by our Data Processing Agreement (DPA), which is incorporated by reference into these Terms.
You are responsible for ensuring that you have a valid legal basis to collect and process end-user consent records through the Service, and for providing appropriate privacy notices to your end users.
We implement appropriate technical and organizational measures to protect the data processed through the Service, including encryption at rest and in transit, role-based access control, and regular security assessments.
8. Service Levels
We strive to maintain high availability of the Service. For customers on paid plans, uptime commitments are described in our Service Level Agreement (SLA). The Free plan is provided on a best-effort basis without uptime guarantees.
We may perform scheduled maintenance with advance notice. Emergency maintenance may be performed without prior notice when necessary to protect the integrity of the Service.
9. Termination
You may terminate your account at any time from your dashboard settings. Upon termination, your access to the Service will cease at the end of the current billing period for paid plans, or immediately for free plans.
We may suspend or terminate your account if you violate these Terms, fail to pay applicable fees, or if we reasonably believe your use poses a security risk. We will provide notice and an opportunity to cure where commercially reasonable.
Upon termination, we will retain your data for 30 days to allow for export, after which it will be permanently deleted. Consent records that are subject to regulatory retention requirements may be retained for the legally required period.
10. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or through a prominent notice in the Service at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of Spain, without regard to its conflict-of-law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Madrid, Spain.
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
